Governance Philosophy

Governance as a

For Elifinity, governance is not treated as a peripheral requirement. In a category linked to trust, safety, coordination and long-term platform development, governance quality is central to credibility, discipline and strategic coherence.

The platform is therefore intended to combine investment focus with an appropriate level of structure, oversight and accountability. This applies across strategic decisions, investment processes, responsible-investment methodology and public communication.

Good governance is also viewed as a prerequisite for the coherence of Elifinity's responsible-investment objective — not only a regulatory obligation. It is the mechanism through which intent is translated into disciplined and consistent execution.

Elifinity operates within a Luxembourg alternative investment fund framework, combining strategic direction, external fund management oversight, advisory input and appropriate governance functions in support of disciplined execution.

This framework is designed to be consistent with applicable Luxembourg regulatory requirements, including those relating to fund management, investor protection and sustainability-related disclosures under SFDR.

Provides strategic direction and overall alignment for the platform. Responsible for the coherence of the investment approach, responsible-investment objective and governance architecture as a whole.

External Fund Management Oversight

Supports fund-level oversight and management within the applicable regulatory framework. Provides the AIFMD-compliant operational and supervisory layer required under Luxembourg law.

Investment Advisory Support

Supports the GP with investment-related analysis, market research and strategic input. Nexus Arc Advisors SA, a Swiss registered company based in Geneva, provides this advisory function.

Contribute to disciplined review, structured oversight and compliance-oriented execution across strategic, ethical, risk, compliance and selection matters through designated committee-level functions.

The control environment is not designed to eliminate risk — no governance architecture can achieve that — but to ensure that risks are identified, assessed and managed in a structured and accountable manner.

Ethics Committee

Provides an ethical lens on investment considerations, responsible-investment methodology and consistency with the platform's stated social objectives

Compliance Committee

Supports compliance-oriented review across regulatory obligations, disclosure consistency and operational adherence to applicable requirements

Selection Committee

Contributes expertise and challenge to the investment selection process, including assessment of strategic fit, governance quality and responsible-investment criteria

Oversight therefore matters both for financial and operational reasons and for the integrity of the broader purpose the platform seeks to pursue. This includes attention to governance standards at the level of investee companies, to the integrity of the platform's sustainability methodology and to the consistency of related disclosures over time.

Elifinity expects governance quality from its portfolio — and applies the same expectation to itself. This parallel standard is treated as a prerequisite for credibility, not a supplementary aspiration.

This includes regular review of the coherence between the platform's SFDR Article 9 positioning, its investment process and its public statements — ensuring that the responsible-investment objective is pursued in a structured and accountable manner, not only stated as a principle.
